These Terms and Conditions ("Terms") govern your use of the services provided by Zatersio Pty Ltd ("Zatersio," "we," "our," or "us"), including our website, AI automation services, voice AI solutions, and custom development services.
By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.
2. Services Description
Zatersio provides the following services:
- AI Automation: Custom workflow automation solutions
- Voice AI: Voice assistant development and integration
- Custom Development: Web applications, mobile apps, and APIs
- Consulting: Technical consultation and project planning
- Support: Ongoing maintenance and technical support
3. Project Terms
3.1 Project Initiation
Projects begin upon receipt of the agreed-upon deposit and signed project agreement. All projects require a detailed scope of work and timeline to be established before commencement.
3.2 Payment Terms
Payment terms are as follows unless otherwise agreed in writing:
- 50% deposit required before project commencement
- Remaining balance due upon project completion
- All prices are in Australian Dollars (AUD)
- Payment is due within 14 days of invoice date
- Late payments may incur additional fees
3.3 Project Timeline
Project timelines are estimates and may vary based on complexity, client feedback, and scope changes. We will communicate any significant timeline adjustments promptly.
3.4 Revisions and Changes
Minor revisions are included in the project scope. Major changes or additions may require additional fees and timeline adjustments, which will be communicated in advance.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete project requirements
- Timely communication and feedback
- Providing necessary access to systems and data
- Testing and approving deliverables
- Ensuring compliance with applicable laws and regulations
- Maintaining backups of their data
5. Intellectual Property
5.1 Client Ownership
Upon full payment, clients own the final deliverables created specifically for their project. This includes custom code, designs, and documentation developed exclusively for the client.
5.2 Zatersio Rights
Zatersio retains rights to:
- Proprietary frameworks, libraries, and tools
- Reusable code components and templates
- Portfolio rights to showcase completed work
- Intellectual property developed prior to the project
5.3 Third-Party Components
Projects may include third-party components, libraries, or services. These remain subject to their respective licenses and terms of use.
6. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the project. This includes:
- Business strategies and trade secrets
- Technical specifications and architecture
- Client data and user information
- Proprietary algorithms and methodologies
Confidentiality obligations survive the termination of these Terms for a period of 5 years.
7. Warranty and Support
7.1 Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. This warranty is valid for 30 days after project completion.
7.2 Support
Support terms vary by project and are specified in individual agreements. Standard support includes:
- Bug fixes and critical issues
- Technical guidance and documentation
- Performance optimization recommendations
- Security updates and patches
7.3 Exclusions
Warranty and support do not cover issues caused by client modifications, third-party integrations, or changes to the operating environment not approved by Zatersio.
8. Limitation of Liability
To the maximum extent permitted by law, Zatersio's liability is limited to:
- The amount paid by the client for the specific service
- Direct damages only (excluding consequential damages)
- Claims arising within 12 months of service completion
We are not liable for any indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.
9. Indemnification
Clients agree to indemnify and hold harmless Zatersio from any claims arising from:
- Client's use of our services
- Client's violation of these Terms
- Client's infringement of third-party rights
- Client's violation of applicable laws
10. Termination
Either party may terminate a project with written notice:
- For material breach of these Terms
- With 30 days written notice for convenience
- Immediately for non-payment
Upon termination, clients are responsible for payment of work completed up to the termination date.
11. Force Majeure
Neither party is liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of New South Wales, unless otherwise agreed in writing.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of the modified Terms.
